BYJU’S CODING CUP COMPETITION

OFFICIAL RULES

Registration for the BYJU’s Coding Cup Competition (“Contest”) opens on October 20, 2022 at 5:00:01AM and will end on December 21, 2022 at 11:59:59PM (all times are Pacific Time) (the “Contest Period”). Sponsor’s (as defined under Section 2) computer is the official time-keeping device for the Contest. YOU ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME IN YOUR TIME ZONE.

Void where prohibited by law. Subject to all federal, state, provincial, and local laws.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE IN THE CONTEST. A purchase of a product or service will not improve your chance of winning.

1. ELIGIBILITY 

To enter the Contest, you (the “Player” or “You”) must:

  1. Have Internet access;
  2. Be a legal resident of the fifty (50) United States and the District of Columbia (excluding Puerto Rico, Guam, the Virgin Islands, and other US territories), India, United Kingdom, Australia, New Zealand, and Canada (excluding Quebec) at the time of entry. Entries originating from any other territory are not eligible and are excluded; and
  3. Be between the ages of seven (7) and eighteen (18) at the time of entry. All persons under the age of majority in their territory (“Minor”) must have permission and clearance prior to entering the Contest from their parent or legal guardian (“Parent”) and such entry shall be deemed submitted by the Parent and shall be treated as if the Parent had made such entry. If a Player wins the Contest, a prize will be awarded in the name of the Parent. By permitting a Minor Player to participate in the Contest, such Player’s Parent represents and warrants that he or she has read, understands, and agrees to the terms and conditions of these Official Rules on behalf of both the Parent and Player.

Employees of Sponsor, its parent, subsidiaries, and affiliated companies, advertising and promotion agencies, or other parties involved in any aspect with the creation, production, operation, execution, and fulfillment of the Contest and the immediate family members (parents, siblings, children, and spouse) and/or those living in the same household (whether or not related) of each are not eligible to win. 

YOU MUST NOT BE PROHIBITED BY YOUR EMPLOYER’S RULES, CODE OF ETHICS, OR CODE OF CONDUCT, OR BY FEDERAL OR STATE LAW FROM ENTERING THIS CONTEST OR FROM WINNING A PRIZE.

By registering and participating in the Contest, each Player (and, if Player is a Minor, their Parent) agrees to these Official Rules and all the decisions of Sponsor, which are final and binding in all respects.

2. SPONSORED AND ADMINISTERED BY

Neuron Fuel, Inc., doing business as “Tynker”, together with Think & Learn Private Limited (“BYJU’s”) (collectively, “Sponsor”, “We”, “Us”, “Our”), sponsor and administer this Contest. Sponsor reserves the right to cancel the Contest at any time and substitute another promotion in its place.

3. HOW TO PLAY

The Contest is a skills-based virtual coding competition conducted at https://www.tynker.com/codingcup/ (the “Website”), leveraging block-based coding challenges where kids compete on a virtual soccer field to determine whose code has the winning strategy, enabling Players to rise in a globally-ranked leaderboard based on their skills in code. Players will be listed on the leaderboard by their team name, profile name, win percentage, along with their ranking.

The Contest consists of four (4) rounds (each, a “Round”, and collectively, “Rounds”): Round 1, Round 2, a Quarter Final Round, and a Final Round. The dates of the Rounds are subject to change by Sponsor, and if changed, will be updated in these Official Rules.

Round 1: Shall begin on October 20, 2022 at 5:00:01AM (PT) and end on November 19, 2022 at 11:59:59PM (PT).

Round 2: Shall begin on November 20, 2022 at 12:00:01AM (PT) and end on December 7, 2022 at 11:59:59PM (PT).

Quarter Final Round: Shall begin on December 8, 2022 at 12:00:01AM (PT) and end on December 11, 2022 at 11:59:59PM (PT)

Final Round: Shall begin on December 12, 2022 at 12:00:01AM (PT) and end on December 21, 2022 at 11:59:59PM (PT).

Each Player will design, and train, using code, a virtual team consisting of a striker, a defender, and goalkeeper (“Team”).  Players compete against one another when their Team is played against another Player’s Team. A Player can compete by playing their own Team or by being matched to a Team created by another Player. Player ranks are determined by an Elo-inspired ranking system, taking into account wins, losses, and ties, as well as the ranking of their opponent. As the Team created by a Player wins or loses matches, the Player’s rank will move up or down accordingly. Players can view their current ranking by visiting the "Leaderboard → Ranking" section of their dashboard, where Players can also review their Win Percentage and Total Games Won. All Players start with a ranking of 1500 points and will earn or lose additional points as their Team competes against other teams. The Player whose Team earns the most points at the conclusion of the Contest will be ranked in first (1st) place. Players can play a Team in a match by using the “Play Match” button in their dashboard, and review recent matches triggered by other Players using the “Recent” button in their dashboard.

While no prizes are offered for practice games, Players can test their skills in practice games against themselves before moving into competition matches against other teams, or rewatch their own matches.

Players may only use the code and/or libraries provided by Sponsor through the Website. No additional code and/or libraries can be used for the Contest. No pre-written codes are permitted. Players may use the content made available by Sponsor as part of the Contest solely to prepare for and compete in such Contest. Sponsor retains all rights in such content.

Should a tie occur for 1st, 2nd, or 3rd place, Sponsor will break the Tie by awarding the affected Prize, among those tied, as follows: A panel of eight (8) judges will select the overall winner based on the following criteria of Players’ coding and team logo design:

  1. 30% based on originality
  2. 30% based on creativity
  3. 40% based on use of advanced coding

4. HOW TO ENTER.  

Profile Creation and Contest Registration: To register for the Contest, you must click “Start Now” at the Website, create your virtual soccer team, click “Join”, and register for your free Tynker account. Once you have registered, you will be automatically taken back to the Contest.  

Children under the age of thirteen (13) will create a student account (“Student Account”). Sponsor must obtain verifiable parental consent for children under the age of thirteen (13) prior to account creation. Children under the age of thirteen (13) will be required to provide the email address of their Parent prior to account sign up and must have a Parent account connected to their Student Account to be eligible to register and compete in the Contest.

To register for a free Tynker account you (and if applicable, your Parent) will need to provide the following information:

  • If you are under thirteen (13), the name and email address of your Parent
  • Your name
  • Your phone number
  • Your email
  • Your username  

Registration through the Website is the sole and exclusive means of registering for, entering, and competing in the Contest. Players may only register for the Contest with one (1) valid Tynker account. All matches must be played under the same Tynker account ID. Any attempt by any person to compete in the Contest with more than one (1) registration by using multiple/different email addresses, identities, registrations, and logins, or any other methods will void that Player's registration and that Player will be disqualified. Sponsor is not responsible for registrations which it suspects are fraudulent or unauthorized, or which are not received, inaccurate or incorrect, or incomplete. Any attempt by any Player to submit or play more than the maximum permitted number of matches (e.g. by creating or submitting additional entries from multiple Tynker account IDs) will void any of that Player’s entries and disqualify him/her from the Contest. Sponsor reserves the right in its sole discretion to eliminate or delete any account that it is unable to verify and confirm as legitimate. The submission of an entry is solely the responsibility of the Player. It is the Player’s responsibility to keep any contact information, including email address, within the account updated. Once submitted, entries become the sole property of Sponsor and will not be acknowledged or returned.

Profile and Team Names and Logos: Do not include any personally identifiable information as your profile or team name. Sponsor reserves the right to change or omit contestant profile names, logos, or team names, particularly, if Sponsor determines they are profane, obscene, offensive, harmful, discriminatory, or violate the intellectual property rights of others. If you create a profile name, logo, or team name that is profane, offensive, obscene, harmful, discriminatory, or violates the intellectual property rights of others you may be disqualified from the Contest.

5. PRIZES

Approximate retail value (“ARV”) of all prizes is $20,000 USD.

Prizes will be awarded to verified winners as follows:

Non-Monetary Prizes: Number of winners, prize, and ARV will be outlined in Sponsor’s blog posting found at https://www.tynker.com/blog/byjus-coding-cup-competition-prizes/ (“Blog”).

If a winner is a Minor, the prize will be issued in the name of the winning Player’s Parent.

Limit one (1) prize per household. Odds of winning one of the prizes depends on the total number of eligible entries received and Player’s ranking. The Sponsor may, in its sole discretion, include additional prize awards after these Official Rules have been posted; in which case Sponsor reserves the right to update these Official Rules to include descriptions of additional prizes.

Upon fulfilling the prize, Sponsor will be deemed to have awarded the prize to the winner and such winner assumes full responsibility for the prize. Winners are solely responsible for the reporting and payment of all federal, state, provincial, and local taxes, duties, and associated expenses incurred by the acceptance of the prize. Sponsor is not responsible for any costs associated with accepting or otherwise using the prizes. Any prizes pictured in advertising are for illustrative purposes only.

Any delay or failure of Sponsor to perform its obligations under these Official Rules, including, without limitation, with respect to fulfillment of the prize or any part thereof, shall be excused to the extent that such delay or failure is caused by an event or occurrence beyond Sponsor’s reasonable control, including, without limitation, for reasons due to any act of God; unavoidable accident; epidemic; pandemic; fire; blackout; war, riot or civil commotion; threats of terrorism, strike; labor disputes, acts of government, natural disasters, or inclement weather.

6. PRIZE SUBSTITUTION

If for any reason a prize is unavailable or a prize or related event is delayed, canceled, or postponed, we reserve the right to modify the Contest in our sole discretion and award a substitute prize of equal or greater value as set forth in these Official Rules. Prizes cannot be assigned, resold, transferred, substituted, exchanged, or otherwise redeemed. We will not replace or refund any lost or stolen prizes.

7. WINNER NOTIFICATION

Results posted on the Leaderboard are not definitive and may change, for example, as a result of disqualification. Please note that even if you are listed as a potential winner on the Leaderboard at the close of a Round or as of the conclusion of the Contest, you have not yet won a prize. Potential winners will be notified via email by Sponsor and may be subject to verification by the Sponsor and must meet all eligibility requirements and the terms of these Official Rules prior to a Player being confirmed as a winner and a prize awarded.

You are not a winner until your claim is validated and you receive official notification from us. We will attempt to notify potential winners electronically via email within seven (7) days with instructions on how to claim the prize. We will email Player (or if Player is under the age of thirteen (13), Player’s Parent) using the contact information you provided for your account. We will have no liability for any winner notification email that is lost, intercepted, or not received for any reason by the potential winner. If we receive no response from a potential winner within fourteen (14) days of delivery of the notification attempt, if the prize notification to the potential winner is returned as undeliverable, the potential winner declines the prize for any reason, or the potential winner is found to not comply with these Official Rules, the potential winner will forfeit their Prize and the next runner-up may be selected as an alternate winner.

We shall assume no responsibility for any error in the registration of an account, administering this Contest, announcing the winners, delivering the Prize, or with any failures or problems related to computer systems, the Internet, servers or providers, satellites, computer or other connections, e-mail systems, or any technical problems or malfunctions with, or traffic congestion of, the Website. Sponsor is not responsible for incompatibility of Player’s hardware, software, or browser technology with Sponsor’s hardware, software, or browser technology.  

If receipt of the Prize is restricted by law or employment policy applicable to the potential winner, the potential winner will be disqualified and the next runner-up may be selected as an alternate winner. Entries submitted by anyone other than Player are void. In case of dispute as to the identity of any Player, Sponsor will declare the account to have been made by the holder of the registered name and email address on the account. Any potential prize winner may be requested to provide us with proof that such person is the prize winner.

 

8. WINNER VERIFICATION

Potential winner(s) may be required, at our discretion, to prove eligibility, including, without limitation, proof of age, residence, and identity, and to complete, sign, and return an Affidavit of Eligibility and Liability (“Affidavit”) and Publicity Release, including providing their social security numbers or tax ID numbers (for purposes of tax reporting), within the the stated time frame. Noncompliance with this time period may result in disqualification.

We shall have no liability or responsibility to award any prize where: (a) any required Affidavit is not fully executed and received by us at the designated address by the specified due date; (b) if any notification attempt to the potential winner is returned as undeliverable or if potential winner cannot be contacted for any reason; or (c) potential winner is deemed ineligible or otherwise non-compliant with any aspect of these Official Rules. All prizes will be awarded. We shall have no responsibility or obligation to a winner who is unable or unavailable to, or who does not for any reason, accept or utilize a prize. In the event a potential winner cannot accept the Prize, is ineligible, or is disqualified, we reserve the right to select an alternate winner from the next runner-up, time permitting.

Provided that each winner is in compliance with these Official Rules and after having successfully proven eligibility, each winner will be officially confirmed as the winner. We expressly reserve the right to delay the announcement of each winner for any reason we may deem necessary.  

BY ENTERING THIS CONTEST, THE PLAYER (OR IF PLAYER IS A MINOR, PLAYER’S PARENT) ACKNOWLEDGES AND REPRESENTS TO SPONSOR THAT THE PLAYER IS NOT PROHIBITED FROM WINNING THE PRIZE BY ANY LAW OR REGULATION OR BY ANY RULES, CODE OF ETHICS, OR CODE OF CONDUCT REQUIREMENTS OF PLAYER’S EMPLOYER OR APPLICABLE TO PLAYER’S EMPLOYMENT.

9. DECISIONS FINAL

By entering this Contest, each Player (or if Player is a Minor, Player’s Parent) agrees to be bound by these Official Rules. All decisions relating to this Contest made by Sponsor are final and binding and not subject to appeal or review.  

10. PROHIBITED ACTIVITIES

Sponsor reserves the right, at its sole discretion, to disqualify and prohibit any Player from participating in the Contest or winning a prize who it suspects, in its sole discretion, of attempting to undermine the legitimate operation of the Contest by engaging in, promoting, or encouraging any prohibited activity.

Prohibited Activities include, without limitation:

  1. engaging in suspected fraud (including creating fake accounts or multiple accounts for the same Player);
  2. violating any law, rule, or regulation;
  3. using unauthorized code or external software designed to give the Player an unfair advantage;
  4. acting in an unsportsmanlike or disruptive manner, including by interfering with or disrupting another Player’s participation in the Contest;
  5. engaging in hateful, sexually explicit, infringing, privacy-invasive, indecent, vulgar, profane, or otherwise offensive conduct or language;
  6. engaging in abusive behavior, including harassment and verbal threats;
  7. tampering with or impairing in any way the Contest or the Website;
  8. using bots or other automated processes;
  9. cheating (including playing on behalf of another Player or allowing another Player to play on your behalf), engaging in deception, or other unfair practices; and
  10. intending to annoy, abuse, threaten, bully,  or harass Sponsor, any of Sponsor’s representatives, other Players, or otherwise failing to comply with these Rules.

ANY ATTEMPT BY A PLAYER OR ANY OTHER PERSON TO DAMAGE ANY WEB SITE ASSOCIATED WITH SPONSOR OR UNDERMINING THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SHOULD SUCH ATTEMPTS BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

11. REPRESENTATIONS

By participating in this Contest, Player (and if Player is a Minor, Player’s Parent) acknowledges and agrees:

  1. All information provided is true and accurate;
  2. Player, if a Minor, has obtained the necessary permission from a Parent;
  3. Player is not a resident of any excluded state or territory;
  4. Player will not engage in, encourage, or promote any Prohibited Activities;
  5. Player will conduct themselves in accordance with commonly accepted standards of decency and social conventions and not commit any act or become involved in any situation or make any statement which brings disrepute, contempt, scandal, ridicule, or disdain to the Sponsor.
  6. Player will be solely responsible for all costs, fee, expenses, and taxes which may be associated with the prize;
  7. Player will abide by Sponsor’s Online Terms and Conditions (https://www.tynker.com/terms/), which are incorporated into these Official Rules. In the event of a conflict between these Contest Official Rules and the Online Terms of Use, these Official Rules will take precedence.
  8. Player agrees to be bound by these Official Rules and to the decisions of Sponsor.

12. DISCLAIMER AND LIMITATION OF LIABILITY 

The Contest is provided on an “AS-IS” and “AS-AVAILABLE” basis. Sponsor is not responsible for: (a) lost, late, incomplete, damaged, misdelivered, tampered with, delayed, or inaccurate registrations; (b) a Player’s security settings that prevent receipt of a prize; or (c) typographical, technological, transmission, administrative, or human errors or failures of any kind in connection with the registration, transmission, or processing of registrations, including by reason of hardware, software, browser, or network failure or malfunction. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT SHALL SPONSOR OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE IN CONNECTION WITH OR ARISING OUT OF A PLAYER’S PARTICIPATION IN THIS CONTEST UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE GREATER OF $100, AND IN NO EVENT SHALL SPONSOR BE LIABLE FOR ATTORNEY’S FEES; (II) ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, WHETHER FORESEEABLE OR NOT; (III) DATA LOSS; OR (IV) ANY MATTER BEYOND COMPANY’S REASONABLE CONTROL.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

13. INDEMNIFICATION 

By participating in the Contest, Player (and if Player is a Minor, Player’s Parent) agrees to indemnify, defend, and hold harmless Sponsor, its parents, subsidiaries, affiliates, officers, and employees from and against all actions, claims, liabilities, settlements, losses, damages, fees, costs and attorney’s fees, or other expenses arising out of or related to participation in the Contest, including without limitation, Player’s acceptance, possession, or use of the Prize.

14. RELEASE

Each Player (and if Player is a Minor, Player’s Parent), by entering this Contest or by acceptance of any Prize, agrees on behalf of him/herself, his/her heirs, executors, representatives, assigns, administrators, and next of kin to indemnify, hold harmless, and release Sponsor its parents, subsidiaries, affiliates, and each of their officers, directors, employees, advisors, assignees, agents, representatives and any other person or entity associated with this Contest from any and all liability claims or actions of any kind whatsoever for injuries, damages, or losses to persons and property which may be sustained in connection with the receipt, enjoyment, ownership, or use of a prize. Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of any prize awarded.

15. PRIVACY

All information provided or collected through or in connection with this Contest is subject to Sponsor’s privacy policy: https://www.tynker.com/privacy/student and https://www.tynker.com/privacy/non-student. 

Information Players provide as part of this Contest will be used to communicate with Players (or if Player is a Minor, Player’s Parent), regarding this Contest and otherwise as set forth in these Official Rules, and may be used to contact Players (or if Player is under the age of thirteen (13), Player’s Parent) at a later date with respect to products or services which Tynker believes may be of interest to them.  

16. RIGHTS AND PUBLICITY RELEASE

Except where prohibited by law, participation in the Contest constitutes Player’s (and, if Player is a Minor, Player’s Parent) consent to Sponsor’s use of Player’s name, profile and/or team name, image, rankings, photograph, video footage, voice, likeness, statements, general location (City, State/Territory, Country), and biographical information (collectively, “Likeness”), for any purposes including for advertising and promotional purposes, in any and all media, now existing or created in the future, worldwide, in perpetuity, and without further payment, consideration, notice, review, or consent, except where prohibited by law. By entering the Contest, Players (and if Player is a Minor, Player’s Parent) grant Sponsor the right to edit, publish, alter, promote, or otherwise use their Likeness for any purpose without permission, notice, or compensation. Players (and if Player is a Minor, Player’s Parent) understand they have no right to approve the advertising or promotional materials created pursuant to this Contest. No royalties will be paid at this or any time.

Players (and, if Player is a Minor, Player’s Parent) shall grant to Sponsor an irrevocable, perpetual, royalty-free, fully-paid, worldwide, transferable, and sublicensable license of a limited right, title and interest in and to the materials created by Player relating to this Contest, including, without limitation, all rights of every kind and nature (whether now known or hereafter devised, including all copyrights therein and thereto and all renewals and extensions thereof), throughout the universe, in perpetuity, for all purposes, in any and all media, whether now known or hereafter devised.

17. ANNOUNCEMENT OF WINNERS

The results of the winners of the Contest will be posted at the Website and/or Blog after the completion of the Contest.

18. ENDORSEMENT DISCLOSURE

This Contest is in no way sponsored, endorsed, or administered by the Fédération Internationale de Football Association (“FIFA”). 

The names of individuals, organizations, groups, companies, products, and services which may be mentioned herein or as part of the Contest, and any corresponding likenesses, logos, and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group, organization, or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement and, except as otherwise indicated, no association or endorsement is intended or should be inferred.

19. GOVERNING LAW AND DISPUTE RESOLUTION

These Official Rules are governed by, and construed in accordance with, the laws of the State of California, without giving effect to conflict of law principles, with exclusive jurisdiction and venue in the  United States Federal Courts located in the Northern District of California.

20. MODIFICATION AND TERMINATION

Sponsor reserves the right to cancel, modify, suspend, postpone, or terminate the Contest at any time, without notice, for reasons beyond the reasonable control of the Sponsor, including without limitation, for reasons due to the Contest not being capable of running as planned due to a computer virus, tampering, unauthorized intervention, fraud, technical failures; any act of God; unavoidable accident; epidemic; pandemic; fire; blackout; war, riot or civil commotion; threats of terrorism, strike; labor disputes, acts of government, natural disasters, or inclement weather. If the Contest is canceled before its full conclusion, no prizes will be awarded.

Sponsor reserves the right to modify and amend these Official Rules from time to time during the Contest Period for clarification purposes.

21. GAMBLING PROHIBITION

This Contest is strictly for entertainment purposes and may not be used in connection with any form of gambling, including taking bets on the outcome of the Rounds.

22. MISC

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.
